THESE SERVICE CONDITIONS (the "Agreement"), effective as of the date of first access or use by the User (as defined below), are entered into by and between CHIEFCONTENT.AI, INC., a corporation organized and existing under the laws of its jurisdiction of incorporation, together with its subsidiaries, affiliates, successors, assigns, and designated agents (collectively, "chiefcontent.ai"), and the individual or entity accessing or using any Service (as defined below) ("User" or "You").
1.1 "Service" means any and all products, software, applications, websites, content, features, functionalities, and services provided, operated, or made available by chiefcontent.ai, whether now existing or hereafter developed.
1.2 "User Content" means any data, information, text, images, audio, video, files, or other materials submitted, uploaded, transmitted, or otherwise made available by User through the Service.
1.3 "Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with chiefcontent.ai.
1.4 "Applicable Law" means all laws, statutes, regulations, ordinances, rules, codes, and orders of any governmental authority having jurisdiction.
1.5 "Personal Data" means any information relating to an identified or identifiable natural person, as defined under Applicable Law.
1.6 "Third-Party Services" means any products, services, content, or resources provided by parties other than chiefcontent.ai.
1.7 "Subcontractor" means any third party engaged by chiefcontent.ai to perform any part of the Service.
1.8 "Beta Features" means any functionality, feature, or service identified as beta, experimental, or pre-release.
1.9 "Data Breach" means any unauthorized access to, acquisition of, or disclosure of Personal Data processed by chiefcontent.ai.
1.10 "Cookies" means small data files placed on User's device for tracking and authentication purposes.
By accessing, browsing, or otherwise using the Service, User acknowledges that User has read, understood, and agrees to be bound by this Agreement, as well as any additional terms, policies, guidelines, or amendments that may be incorporated by reference at the sole discretion of chiefcontent.ai. If User does not agree to any provision of this Agreement, User must immediately cease all use of the Service. User's continued use of the Service following any update constitutes acceptance of the revised terms, regardless of actual notice.
chiefcontent.ai reserves the right, at its sole discretion, to modify, amend, supplement, or replace this Agreement, in whole or in part, at any time, with or without notice. Any such modification shall be effective immediately upon posting on the chiefcontent.ai website or through any other means of communication deemed appropriate by chiefcontent.ai. User's continued use of the Service following any such modification constitutes acceptance of the modified Agreement. chiefcontent.ai may, but is not obligated to, provide advance notice of material changes. User is responsible for reviewing the Agreement periodically for updates.
4.1 User represents and warrants that User is of legal age to form a binding contract, or possesses verifiable parental or guardian consent, and is not a person barred from receiving the Service under the laws of any applicable jurisdiction.
4.2 User agrees to provide accurate, current, and complete information as may be required for registration or continued use of the Service, and to promptly update such information as necessary.
4.3 User is solely responsible for maintaining the confidentiality of any authentication credentials, and for all activities that occur under User's account. chiefcontent.ai shall not be liable for any loss or damage arising from User's failure to comply with this Section.
4.4 chiefcontent.ai reserves the right to refuse registration, suspend, or terminate any account at its sole discretion, with or without cause or notice.
4.5 User agrees to notify chiefcontent.ai immediately of any unauthorized use of User's account or any other breach of security.
5.1 Subject to User's ongoing compliance with this Agreement, chiefcontent.ai grants User a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for its intended purpose.
5.2 User shall not, directly or indirectly: (a) copy, modify, adapt, translate, or create derivative works of the Service; (b) decompile, reverse engineer, disassemble, or otherwise attempt to derive source code from the Service; (c) circumvent, disable, or otherwise interfere with security-related features; (d) use the Service for any unlawful, unauthorized, or prohibited purpose; (e) access or use the Service for competitive analysis or to build a competing product or service; or (f) use any automated means to access the Service without chiefcontent.ai's express written consent.
5.3 chiefcontent.ai may, at its sole discretion, monitor, audit, or restrict User's use of the Service to ensure compliance with this Agreement.
5.4 User acknowledges that any unauthorized use of the Service may result in civil and criminal liability.
6.1 User retains all right, title, and interest in and to User Content, subject to the license granted herein.
6.2 By submitting User Content, User grants chiefcontent.ai a worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, process, store, reproduce, adapt, publish, translate, distribute, perform, display, and create derivative works of such User Content for the purposes of operating, improving, and providing the Service, including but not limited to analytics, research, and development of machine learning models.
6.3 User acknowledges and agrees that chiefcontent.ai may retain, delete, anonymize, or aggregate User Content at its sole discretion, including after account termination, except as otherwise required by Applicable Law.
6.4 User consents to the transfer, storage, and processing of User Content and Personal Data in any country in which chiefcontent.ai or its Affiliates or service providers maintain facilities.
6.5 chiefcontent.ai may, but is not obligated to, provide User with access to or copies of User Content upon request, subject to applicable fees and procedures.
6.6 User is solely responsible for maintaining backup copies of User Content.
7.1 chiefcontent.ai will implement reasonable and appropriate technical and organizational measures to protect Personal Data against unauthorized access, loss, or disclosure, in accordance with its Privacy Policy, which is incorporated herein by reference.
7.2 User acknowledges that no method of transmission over the Internet or method of electronic storage is completely secure, and chiefcontent.ai does not warrant absolute security.
7.3 User is responsible for implementing appropriate safeguards to protect User's own systems and data.
7.4 In the event of a Data Breach, chiefcontent.ai will use commercially reasonable efforts to notify affected Users in accordance with Applicable Law, but shall not be liable for any damages resulting from such breach.
7.5 User agrees to cooperate with chiefcontent.ai in any investigation or remediation of a Data Breach.
8.1 The Service may use Cookies and similar tracking technologies to enhance User experience, analyze usage, and deliver personalized content and advertisements.
8.2 User consents to the placement and use of Cookies in accordance with chiefcontent.ai's Cookie Policy.
8.3 User may configure browser settings to refuse Cookies, but this may impair the functionality of the Service.
9.1 User agrees not to use the Service to: (a) violate any Applicable Law; (b) infringe any intellectual property or proprietary right; (c) transmit any viruses, malware, or other harmful code; (d) harass, abuse, or harm another person or entity; (e) engage in fraudulent, deceptive, or misleading practices; (f) interfere with or disrupt the integrity or performance of the Service; (g) attempt to gain unauthorized access to any systems or networks connected to the Service; (h) upload or distribute content that is obscene, defamatory, or otherwise objectionable; or (i) engage in any activity that chiefcontent.ai deems, in its sole discretion, to be inappropriate or harmful.
9.2 chiefcontent.ai reserves the right, but is not obligated, to monitor, review, or remove any User Content or activity that chiefcontent.ai, in its sole discretion, deems to violate this Agreement or to be otherwise objectionable.
9.3 Violations of this Acceptable Use Policy may result in suspension or termination of access to the Service, legal action, and/or notification to law enforcement authorities.
10.1 All rights, title, and interest in and to the Service, including but not limited to software, algorithms, user interfaces, trademarks, trade secrets, and all related intellectual property, are and shall remain the exclusive property of chiefcontent.ai and its licensors.
10.2 User shall not remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Service.
10.3 User acknowledges that any feedback, suggestions, or ideas provided to chiefcontent.ai regarding the Service may be used by chiefcontent.ai without restriction or compensation.
11.1 The Service may incorporate, interoperate with, or provide access to Third-Party Services. chiefcontent.ai does not endorse, control, or assume any responsibility for any Third-Party Services, and User's use of such services is at User's sole risk and subject to the terms and conditions of the respective provider.
11.2 chiefcontent.ai may, at any time and without notice, modify, suspend, or discontinue any integration with Third-Party Services.
11.3 chiefcontent.ai may engage Subcontractors to perform any part of the Service, and User consents to such engagement. chiefcontent.ai remains responsible for the performance of its Subcontractors.
11.4 User acknowledges that Subcontractors may have access to User Content and Personal Data as necessary to perform their duties.
12.1 Certain features or functionalities of the Service may be subject to payment of fees, as specified by chiefcontent.ai from time to time.
12.2 All fees are non-refundable except as expressly provided in this Agreement.
12.3 User is solely responsible for all taxes, levies, or duties imposed by taxing authorities in connection with User's use of the Service.
12.4 chiefcontent.ai may suspend or terminate access to the Service for non-payment of fees.
12.5 chiefcontent.ai may change its fees at any time, with or without notice.
13.1 chiefcontent.ai will use commercially reasonable efforts to make the Service available 99.5% of the time, excluding scheduled maintenance, force majeure events, and circumstances beyond chiefcontent.ai's reasonable control.
13.2 chiefcontent.ai does not guarantee uninterrupted or error-free operation of the Service.
13.3 User's sole remedy for any failure to meet the SLA is limited to service credits, as determined by chiefcontent.ai in its sole discretion.
14.1 chiefcontent.ai may, from time to time, make Beta Features available to User. Beta Features are provided "as is," without warranty of any kind, and may be modified or discontinued at any time.
14.2 User acknowledges that Beta Features may be incomplete, contain errors, or cause unexpected results, and User uses Beta Features at User's own risk.
14.3 chiefcontent.ai makes no representations or warranties regarding the availability, functionality, or performance of Beta Features.
15.1 User may provide feedback, suggestions, or ideas regarding the Service. User grants chiefcontent.ai a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without restriction or compensation.
15.2 chiefcontent.ai is under no obligation to review, implement, or respond to any feedback.
16.1 To the fullest extent permitted by law, User agrees to indemnify, defend, and hold harmless chiefcontent.ai, its officers, directors, employees, agents, and Affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) User's use or misuse of the Service; (b) User's violation of this Agreement; (c) User's infringement of any intellectual property or other right of any person or entity; or (d) any User Content submitted by User.
16.2 chiefcontent.ai reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by User.
17.1 THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. CHIEFCONTENT.AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
17.2 USER ACKNOWLEDGES THAT USE OF THE SERVICE IS AT USER'S SOLE RISK.
17.3 NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY CHIEFCONTENT.AI OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY.
18.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CHIEFCONTENT.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, RESULTING FROM: (a) THE USE OR INABILITY TO USE THE SERVICE; (b) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES; (c) UNAUTHORIZED ACCESS TO OR ALTERATION OF USER'S TRANSMISSIONS OR DATA; OR (d) ANY OTHER MATTER RELATING TO THE SERVICE.
18.2 IN NO EVENT SHALL CHIEFCONTENT.AI'S AGGREGATE LIABILITY TO USER EXCEED THE AMOUNT PAID BY USER TO CHIEFCONTENT.AI FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
18.3 THE LIMITATIONS IN THIS SECTION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
19.1 User represents and warrants that User is not located in, under the control of, or a national or resident of any country subject to embargo or sanctions by the United States or other applicable jurisdictions.
19.2 User agrees not to use the Service for any purpose prohibited by Applicable Law, including but not limited to the development, design, manufacture, or production of missiles, nuclear, chemical, or biological weapons.
20.1 chiefcontent.ai shall not be liable for any failure or delay in performance under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, or interruptions in telecommunications or internet services.
20.2 chiefcontent.ai will use reasonable efforts to mitigate the effects of a force majeure event but shall not be required to provide any compensation for any resulting loss or damage.
21.1 User may not assign or transfer any rights or obligations under this Agreement without the prior written consent of chiefcontent.ai. chiefcontent.ai may assign this Agreement, in whole or in part, at any time without notice to User.
21.2 Any attempted assignment in violation of this Section shall be null and void.
22.1 If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
22.2 The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the parties' original intent.
23.1 This Agreement, together with any additional terms, policies, or guidelines incorporated herein by reference, constitutes the entire agreement between User and chiefcontent.ai with respect to the subject matter hereof, and supersedes all prior or contemporaneous understandings, communications, or agreements, whether written or oral.
23.2 No amendment or modification of this Agreement shall be binding unless in writing and signed by an authorized representative of chiefcontent.ai.
24.1 The failure of chiefcontent.ai to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
24.2 Any waiver must be in writing and signed by an authorized representative of chiefcontent.ai.
25.1 chiefcontent.ai reserves the right to audit User's use of the Service for compliance with this Agreement, with or without notice.
25.2 User agrees to cooperate fully with any such audit and to provide access to all relevant records and systems.
26.1 Upon termination of the Service, User may request a copy of User Content in a format determined by chiefcontent.ai, subject to applicable fees and procedures.
26.2 chiefcontent.ai may, but is not obligated to, retain User Content after termination, except as required by law.
26.3 User is responsible for exporting or backing up User Content prior to termination.
27.1 chiefcontent.ai may provide notice of changes to the Service or this Agreement by email, posting on its website, or through the Service itself. Such notice shall be deemed effective upon dispatch.
27.2 User is responsible for monitoring such notices and for remaining informed of any changes.
28.1 Sections of this Agreement that by their nature should survive termination or expiration shall so survive, including but not limited to Sections on Proprietary Rights, Indemnification, Disclaimers, Limitation of Liability, and Governing Law.
29.1 This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which chiefcontent.ai is incorporated, without regard to its conflict of law principles.
29.2 Any dispute, controversy, or claim arising out of or relating to this Agreement or the Service shall be resolved exclusively through binding arbitration administered by a recognized arbitration authority, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
29.3 User waives any right to participate in class actions, class arbitrations, or representative actions with respect to any dispute arising under this Agreement.
30.1 Headings are for convenience only and shall not affect the interpretation of this Agreement.
30.2 Any ambiguities in the interpretation of this Agreement shall not be construed against the drafting party.
31.1 chiefcontent.ai reserves all rights not expressly granted herein.
31.2 User agrees to comply with all applicable export and re-export control laws and regulations.
31.3 User acknowledges that chiefcontent.ai may, at its sole discretion, update, modify, or discontinue any aspect of the Service at any time.
31.4 User agrees that chiefcontent.ai may audit User's use of the Service for compliance with this Agreement.
31.5 User agrees that any translation of this Agreement is provided for convenience only, and the English version shall prevail in the event of any conflict.
32.1 Notwithstanding any provision herein, certain jurisdictions may impose additional requirements, limitations, or exceptions to the terms of this Agreement. User is solely responsible for compliance with all local laws and regulations applicable to User's use of the Service.
32.2 In the event of a conflict between the terms of this Agreement and any mandatory provision of local law, the latter shall prevail solely to the extent of such conflict.
32.3 chiefcontent.ai may, at its sole discretion, implement jurisdiction-specific terms, which shall be deemed incorporated herein by reference.
33.1 All notices, requests, demands, or other communications required or permitted under this Agreement shall be in writing and delivered to chiefcontent.ai at its designated address or via electronic mail to support@chiefcontent.ai.
33.2 Notices to User may be provided by email, posting within the Service, or any other method reasonably calculated to provide notice.
33.3 Notices shall be deemed effective upon dispatch, regardless of actual receipt.
33.4 User waives any right to contest the validity or enforceability of electronic communications.
34.1 User acknowledges that chiefcontent.ai may store, process, or transfer data across multiple jurisdictions, and that data localization requirements may apply depending on User's location.
34.2 User consents to the transfer of data to any jurisdiction in which chiefcontent.ai or its Affiliates or Subcontractors operate, subject to applicable law.
34.3 chiefcontent.ai may, at its discretion, implement data residency controls or restrictions for certain Users or data types.
35.1 chiefcontent.ai endeavors to make the Service accessible to individuals with disabilities in accordance with applicable accessibility standards, such as the Web Content Accessibility Guidelines (WCAG).
35.2 User acknowledges that accessibility features may be limited or unavailable for certain functionalities, and chiefcontent.ai disclaims all liability for any resulting limitations.
35.3 User may submit accessibility feedback to support@chiefcontent.ai, and chiefcontent.ai will review such feedback in good faith.
36.1 The Service is not directed to children under the age of 13 (or such other age as may be specified by applicable law). chiefcontent.ai does not knowingly collect Personal Data from children under such age.
36.2 If chiefcontent.ai becomes aware that a child has provided Personal Data in violation of this section, chiefcontent.ai will take steps to delete such information as soon as practicable.
36.3 Parents or guardians who believe their child has provided Personal Data may contact chiefcontent.ai at support@chiefcontent.ai.
37.1 User acknowledges that chiefcontent.ai may, at its discretion, maintain insurance coverage for certain risks associated with the Service, but is under no obligation to do so.
37.2 User is solely responsible for obtaining any insurance coverage deemed necessary for User's use of the Service.
38.1 In the event of a dispute, incident, or technical issue, User shall follow chiefcontent.ai's published escalation procedures, as may be updated from time to time.
38.2 User agrees to cooperate fully with chiefcontent.ai's support and technical teams during any escalation process.
39.1 User represents and warrants that User's use of the Service will comply with all applicable regulatory requirements, including but not limited to data protection, privacy, export control, and anti-corruption laws.
39.2 chiefcontent.ai may, at its discretion, implement additional compliance measures or require User to provide certifications of compliance.
40.1 chiefcontent.ai is committed to conducting its business in an environmentally and socially responsible manner, and encourages Users to do the same.
40.2 User agrees not to use the Service in a manner that would result in significant environmental harm or violate applicable environmental laws.
41.1 "Force Majeure Event" means any event or circumstance beyond the reasonable control of chiefcontent.ai, including but not limited to natural disasters, war, terrorism, civil unrest, labor disputes, and governmental actions.
41.2 "Business Day" means any day other than a Saturday, Sunday, or public holiday in the jurisdiction of chiefcontent.ai's principal place of business.
41.3 "Material Breach" means a breach of this Agreement that substantially undermines the purpose of the Agreement or causes significant harm to chiefcontent.ai or its Users.
41.4 "Service Credit" means a credit issued to User's account as a remedy for certain failures to meet the Service Level Agreement, as determined by chiefcontent.ai.
42.1 chiefcontent.ai may maintain a log of historical amendments to this Agreement, which may be made available to Users upon request at chiefcontent.ai's sole discretion.
42.2 The existence or absence of such a log does not affect the enforceability of the current version of this Agreement.
43.1 "Arbitration" means a method of dispute resolution involving a neutral third party who renders a binding decision.
43.2 "Indemnification" means the obligation to compensate another party for certain damages or losses.
43.3 "Jurisdiction" means the legal authority of a court or government to make decisions and judgments.
43.4 "Waiver" means the voluntary relinquishment of a known right.
43.5 "Severability" means that if one part of an agreement is invalid, the rest remains in effect.
44.1 User may have certain rights under applicable data protection laws, including the right to access, rectify, erase, restrict, or object to the processing of Personal Data, and the right to data portability. Requests to exercise such rights must be submitted in writing to chiefcontent.ai.
44.2 chiefcontent.ai will respond to data subject requests in accordance with applicable law and may require verification of identity.
44.3 chiefcontent.ai reserves the right to charge a reasonable fee or refuse requests that are manifestly unfounded or excessive.
44.4 User acknowledges that the exercise of certain rights may affect the availability or functionality of the Service.
45.1 chiefcontent.ai may disclose User information in response to lawful requests by public authorities, including to meet national security or law enforcement requirements, subpoenas, court orders, or other legal processes.
45.2 User will be notified of such disclosure to the extent permitted by law.
45.3 chiefcontent.ai is not liable for any damages arising from such disclosures.
46.1 chiefcontent.ai maintains disaster recovery and business continuity plans designed to minimize service interruptions.
46.2 User acknowledges that no plan can guarantee uninterrupted service and agrees that chiefcontent.ai is not liable for delays or failures resulting from disasters or catastrophic events.
46.3 User is responsible for its own disaster recovery planning with respect to User Content.
47.1 In the event of a claim that the Service infringes a third party's intellectual property rights, chiefcontent.ai may, at its sole discretion, (a) modify the Service, (b) obtain a license, or (c) terminate the affected Service.
47.2 User agrees to notify chiefcontent.ai promptly of any such claims.
47.3 chiefcontent.ai is not responsible for claims arising from User Content or unauthorized use of the Service.
48.1 The Service may include open source software components subject to their own license terms. User agrees to comply with all such terms.
48.2 chiefcontent.ai disclaims all warranties and liabilities with respect to open source components.
48.3 A list of open source components and their licenses may be provided upon request.
49.1 chiefcontent.ai may offer or require training or certification programs for certain features or functionalities.
49.2 User participation in such programs is subject to additional terms and fees.
49.3 chiefcontent.ai does not guarantee any particular outcome or level of proficiency as a result of training or certification.
50.1 chiefcontent.ai maintains procedures for responding to security incidents, including detection, containment, investigation, and remediation.
50.2 User agrees to promptly report any suspected security incidents related to the Service.
50.3 chiefcontent.ai may notify affected Users and relevant authorities as required by law.
51.1 chiefcontent.ai may anonymize or aggregate User Content for analytics, research, or other purposes, and such data is no longer considered Personal Data.
51.2 User waives any rights to anonymized or aggregated data derived from User Content.
52.1 chiefcontent.ai may offer customization of the Service for certain Users, subject to additional terms and fees.
52.2 Customizations are provided "as is" and may not be supported in future versions of the Service.
53.1 The Service may be provided on a multi-tenant basis, with logical separation of User Content.
53.2 User acknowledges that absolute segregation of data cannot be guaranteed and agrees to the inherent risks of multi-tenancy.
54.1 User consents to the international transfer of data as necessary for the provision of the Service.
54.2 chiefcontent.ai will implement appropriate safeguards for international transfers as required by applicable law.
55.1 This Agreement is drafted in English, which shall be the governing language in the event of any conflict or dispute.
55.2 Translations are provided for convenience only and have no legal effect.
56.1 Nothing in this Agreement shall be construed to create any rights or remedies in favor of any third party.
57.1 User grants chiefcontent.ai the right to use User's name and logo in marketing materials, subject to User's written objection.
57.2 User may not issue press releases or make public statements regarding the Service without chiefcontent.ai's prior written consent.
58.1 chiefcontent.ai reserves all rights not expressly granted in this Agreement.
59.1 Headings are for reference only and do not affect the interpretation of this Agreement.
60.1 This Agreement may be executed in counterparts, each of which shall be deemed an original.
61.1 Each party agrees to execute and deliver such further documents and take such further actions as may be reasonably necessary to effectuate the purposes of this Agreement.
62.1 All rights and remedies provided in this Agreement are cumulative and not exclusive of any other rights or remedies.
63.1 Any ambiguities in this Agreement shall not be construed against the drafting party.
64.1 This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and assigns.
65.1 Nothing in this Agreement shall be construed to create a partnership, joint venture, or agency relationship between the parties.
66.1 The parties acknowledge that they have participated equally in the negotiation and drafting of this Agreement.
67.1 This Agreement may be executed electronically and such execution shall be deemed binding.
68.1 User acknowledges that User has read, understood, and agrees to be bound by the terms of this Agreement.
69.1 chiefcontent.ai may provide additional disclosures, notices, or terms from time to time, which shall be deemed incorporated herein by reference.
70.1 This Agreement represents the entire understanding between the parties and supersedes all prior agreements.
70.2 If any provision is found invalid, the remainder shall remain in effect.
70.3 The failure to enforce any provision shall not constitute a waiver.
